Acceptance of Terms

Welcome to Elephas! These Terms of Use ("Terms") govern your use of the Elephas software application, website, and related services (collectively, the "Service") provided by Liberation Softwares LLP ("Elephas," "we," "us," or "our"). By downloading, installing, accessing, or using our Service, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Service.

These Terms describe the current Elephas for Mac and Windows. If you use the earlier Elephas app for Mac and iOS, the section Earlier Elephas app for Mac and iOS near the end of these Terms also applies to you.

Description of Service

Elephas is private AI for your own documents. You add your documents to a Brain (a private collection of your documents), ask questions, and get answers with sources. Our Service includes:

• Desktop applications for Mac and Windows
• Brains built from your own documents, stored on your computer
• Answers that cite your files, with sources you can open
• A choice of where answers are generated: Elephas AI, your own API key, or a model on your computer
• Optional end-to-end encrypted sync on the Professional and Team plans
• Shared Team Brains on the Team plan

Elephas requires macOS 14 or later on an Apple Silicon Mac, or Windows 10 or Windows 11, 64-bit. Intel Macs and Windows on ARM are not supported. There is no mobile app for the current Elephas.

Elephas needs an internet connection to sign in and to confirm your plan.

AI Processing and Third-Party Services

Your documents stay stored on your computer. When you ask a question, you choose which AI answers it:

• Elephas AI (default). When you ask with Elephas AI, your question and the passages Elephas picked from your documents are sent through the Elephas gateway to the AI model. They are not stored and are not used to train AI models. This route is not end-to-end encrypted. Elephas AI uses one model chosen by Elephas.
• Your own API key. With your own API key, requests go straight to the provider you chose. Elephas cannot see them. With your own API key, your provider's terms decide what is kept. This route is not available on the Team plan.
• On this computer. With the on-computer model, answers are generated on your computer. Nothing is sent anywhere. This route is not available on the Team plan.

Our Privacy Policy describes these routes and our service providers in more detail.

Your use of third-party AI providers, payment processors, and platform services may also be subject to their separate terms, privacy policies, and technical limitations. We do not control and are not responsible for third-party services, their availability, their security practices, or how they process data once information is sent to them at your direction.

You are responsible for choosing the route, provider, and configuration appropriate for your use case, including whether the on-computer model is more suitable for especially sensitive work.

Sync, Teams, and Recovery

Sync is available on the Professional and Team plans and is off until you turn it on. Sync is end-to-end encrypted. Our servers hold only encrypted data that we cannot read. A new computer must be approved from one you already use.

On the Team plan, the Owner buys seats, invites members, assigns roles, and sets the Team's AI policy. The Owner is responsible for who is invited to the Team and for which Brains each member can open.

User Accounts and Registration

Account Creation

To access certain features of our Service, you may be required to create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Keep your login credentials secure and confidential
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized use of your account

You use one Elephas account, and sign-in happens in your browser. The number of computers you can use depends on your plan.

Account Termination

You may terminate your account at any time. We reserve the right to suspend or terminate your account if you violate these Terms or engage in activities that may harm our Service or other users.

Professional Conduct

Users must communicate respectfully and professionally with our support team and other users. We have zero tolerance for:

• Abusive, threatening, or harassing communications
• Intimidating behavior or threats to harm our business reputation
• Excessive demands or unreasonable expectations of support
• Communications made in bad faith or with hostile intent

Permitted and Prohibited Uses

Permitted Uses

You may use our Service for:

• Personal knowledge management and organization
• Professional research and document review
• Educational and academic purposes
• Business productivity, on your own or with your team

Prohibited Uses

Sensitive Data, Compliance, and Your Responsibilities

Elephas includes features intended to help you work more carefully with sensitive information, including storing your documents on your computer and personal detail protection, which detects personal details such as names, email addresses, and phone numbers and hides them before a question is sent to a cloud AI model. This is detection, not a guarantee. It works best in English and it can miss things. No software can guarantee complete detection, redaction, anonymization, confidentiality preservation, or regulatory compliance in every case. Elephas does not hold security certifications today.

You are solely responsible for deciding what content to process with the Service, whether you have permission to process that content, whether any notice or consent is required, and whether your chosen setup complies with your contractual, professional, employment, privacy, data protection, or industry-specific obligations.

If your use case involves highly sensitive, regulated, or mission-critical information, you should independently evaluate whether the on-computer model, additional internal controls, or legal/compliance review is appropriate before using cloud-based features.

Intellectual Property Rights

Our Rights

The Elephas application, website, and all related content, features, and functionality are owned by Liberation Softwares LLP and are protected by international copyright, trademark, and other intellectual property laws.

Your Content

License to Use

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable license to use Elephas for your personal or internal business purposes.

Payment Terms and Subscriptions

Subscription Plans

Elephas for Mac and Windows is offered on three subscription plans. By purchasing a subscription, you agree to pay the applicable fees as described here and on our pricing page.

• Personal: $19 per month, or $180 per year. One computer. Includes a monthly amount of Elephas AI usage.
• Professional: $29 per month, or $288 per year. Up to three computers, end-to-end encrypted sync between them, and twice the included Elephas AI usage of Personal.
• Team: $29 per seat per month, or $288 per seat per year. Shared Team Brains and Team sync. Included Elephas AI usage is pooled across seats. The Owner uses a seat, and a pending invitation holds a seat.

Included Elephas AI usage resets every month and does not roll over. On Personal and Professional, when it runs out you can keep asking with your own API key or the on-computer model. For Enterprise needs, contact us.

There are no licence keys and there is no lifetime plan for Elephas for Mac and Windows. Your plan is tied to your Elephas account.

Free Trial

The free trial lasts 7 days. No card is needed and nothing is charged automatically when it ends. The trial runs on one computer and includes a starter amount of Elephas AI, plus your own API key and the on-computer model. Sync is not included during the trial. There is one trial per account, and there is no Team trial.

After the trial, your Brains, files, search, and past chats stay on your computer. Asking new questions needs a plan, on every route.

Payment Processing

Checkout is hosted by Dodo Payments in your browser. Prices are in US dollars, and applicable taxes are shown at checkout before you pay. Transactions are also subject to the terms and conditions of Dodo Payments.

Changing or Cancelling Your Plan

To change or cancel your plan, or to change the number of seats on a Team, contact support@elephas.app. Send your request from the email address on your account. Cancelling stops future renewals.

Refunds

Elephas offers a free 7-day trial so you can try it before you pay. Because of this, we do not offer refunds.

Changes to Pricing

We reserve the right to modify our subscription fees. Any price changes will be communicated to existing subscribers with at least 30 days' notice before the change takes effect.

Disclaimer of Warranties

AI-Generated Content

Content generated by AI models through Elephas may not always be accurate, complete, or suitable for your purposes. You are responsible for reviewing and verifying any AI-generated content before use.

No Professional Advice

Elephas is a software tool, not a law firm, medical provider, accounting firm, regulated records processor, or fiduciary. The Service does not provide legal, medical, financial, compliance, tax, or other professional advice, and you should not rely on generated output as a substitute for professional judgment.

Limitation of Liability

To the maximum extent permitted by law, Liberation Softwares LLP shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of data, profits, business interruption, loss of goodwill, or business opportunities, arising from or related to your use of Elephas, third-party AI providers, third-party services, or AI-generated output.

To the maximum extent permitted by law, our total aggregate liability for all claims arising out of or relating to the Service shall not exceed the greater of (a) the amount you paid us for the Service in the 12 months before the event giving rise to the claim, or (b) USD $100 if you are using a free plan or have not paid us during that period.

Indemnification

You agree to indemnify, defend, and hold harmless Liberation Softwares LLP, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

Termination

Termination by You

You may stop using our Service at any time. If you have a paid subscription, cancellation will take effect at the end of your current billing period.

Termination by Us

We may terminate or suspend your access to the Service immediately, without prior notice, if you violate these Terms or for any other reason we deem necessary to protect our Service or other users.

Effect of Termination

Upon termination, your right to use the Service will cease immediately. You may export your data before termination. We are not obligated to retain your data after termination.

Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts in Bangalore, India.

Dispute Resolution

Before pursuing formal legal action, we encourage you to contact us directly to resolve any disputes. We are committed to working with you to find a fair and reasonable solution.

Earlier Elephas app for Mac and iOS

This section applies only to the earlier Elephas app for Mac and iOS, which existing customers continue to use. It does not apply to the current Elephas for Mac and Windows. Where this section differs from the rest of these Terms, this section applies to the earlier app. All other sections of these Terms also apply to the earlier app, except "Description of Service," "AI Processing and Third-Party Services," "Sync, Teams, and Recovery," and "Payment Terms and Subscriptions," which describe the current app. In this section, "Super Brain" is the earlier app's name for a collection of your documents. The current Elephas is a separate app with its own account and plans. More information for existing customers is at elephas.app/classic.

Description of the Earlier App

The earlier Elephas app helps you organize, search, and interact with your personal and professional knowledge base. It includes:

• Mac and iOS applications for AI-assisted writing and knowledge management
• Integration with various AI models and services
• Super Brain functionality for organizing and querying your documents
• Smart writing features and content generation tools
• Document processing and analysis capabilities

AI Processing and Third-Party Services

The earlier app may offer local AI features, cloud AI features, and integrations with third-party services. When you choose a cloud-based model, use a third-party integration, or provide your own API key, prompts, relevant excerpts, metadata, and generated outputs may be transmitted to the selected provider or service to complete your request.

Your use of third-party AI providers, integrations, payment processors, and platform services may also be subject to their separate terms, privacy policies, and technical limitations. We do not control and are not responsible for third-party services, their availability, their security practices, or how they process data once information is sent to them at your direction.

You are responsible for choosing the workflow, provider, and configuration appropriate for your use case, including whether local-only or offline processing is more suitable for especially sensitive work.

iCloud Drive Requirements

iCloud Drive storage is necessary for cross-device data sync. The earlier app uses Apple's own iCloud services for privacy reasons. Sufficient iCloud storage and using the same Apple ID on all devices is mandatory for Super Brain sync to work properly.

Subscription Plans

The earlier app was offered on various subscription plans with different features and usage limits. By purchasing a subscription, you agreed to pay the applicable fees as described at the time of purchase. For lifetime deals, "lifetime" refers to the lifetime of the Elephas product, not the lifetime of the purchaser.

Payment Processing

Payments for the earlier app are processed through Gumroad, our payment partner or Apple App Store. All transactions are subject to their terms and conditions.

Refunds

We don't offer refunds for any reason. We do offer free plan and free pro trial for you to try the app.

Sensitive Data in the Earlier App

The earlier app includes features intended to help you work more carefully with sensitive information, including local indexing and optional redaction in certain workflows. However, no software can guarantee complete detection, redaction, anonymization, confidentiality preservation, or regulatory compliance in every case. If your use case involves highly sensitive, regulated, or mission-critical information, you should independently evaluate whether a local-only workflow, offline model, additional internal controls, or legal/compliance review is appropriate before using cloud-based features.

Changes to These Terms

We reserve the right to modify these Terms at any time. When we make changes, we will update the "Last updated" date at the top of this page and notify you through the Service or via email.

Your continued use of the Service after any changes constitutes your acceptance of the updated Terms. If you do not agree to the changes, you must stop using the Service.
